Terms & Conditions

These Terms & Conditions apply to products and services provided by Kate Baxter Studio, including online courses, digital materials and other services, unless separate terms apply.

Additional terms apply to GoldDust Collective membership and 1:1 consulting sessions. Where relevant, these should be read alongside these Terms & Conditions.

Licence and Use of Materials

By purchasing or enrolling in an online course or accessing materials provided by Kate Baxter Studio, you are granted a personal, non-exclusive and non-transferable licence to access and use those materials for your own personal or business use.

You may not:

Resell, redistribute or share course materials with any third party
Use course materials to create your own course, training or educational product
Transfer access to another individual
Allow another person to use your account or login details to access materials intended for you

Kate Baxter Studio may suspend or terminate access where there is a serious or repeated breach of these Terms & Conditions.

Account Security

You are responsible for keeping your username and password confidential and must notify Kate Baxter Studio as soon as possible if you become aware of any unauthorised use of your account.

Intellectual Property

All materials provided by Kate Baxter Studio, including video content, written resources, templates, frameworks, handouts, assignments and other educational materials, remain the intellectual property of Kate Baxter Studio unless otherwise stated.

You may not reproduce, redistribute, publish, sell, license or otherwise exploit these materials without prior written permission.

Membership Access

Where you hold a GoldDust Collective membership, access to membership content, resources and member benefits is subject to an active membership and the GoldDust Collective Membership Terms.

Kate Baxter Studio may suspend or terminate access where there are serious grounds to do so, including serious or repeated breaches of these Terms, fraudulent use of an account, or behaviour that is abusive, threatening, discriminatory, harassing or seriously disruptive to Kate Baxter Studio, guest speakers or other members.

Where reasonably possible, Kate Baxter Studio will provide notice before suspending or terminating access, unless immediate action is necessary because of the seriousness of the circumstances.

Refunds and Cancellation Rights

Refunds and cancellation rights are subject to the terms applying to the relevant product or service and to applicable law.

Nothing in these Terms & Conditions affects any statutory rights you may have.

Where digital content, online courses or other services are supplied immediately after purchase, any applicable cancellation rights and requirements relating to immediate access will be handled in accordance with applicable law.

Service Availability

Kate Baxter Studio will make reasonable efforts to provide access to its services, materials and platforms as described.

However, uninterrupted or error-free access cannot be guaranteed. Access may occasionally be affected by maintenance, technical issues or circumstances outside the reasonable control of Kate Baxter Studio.

This does not affect any rights you may have where a service or digital product has not been provided as agreed or does not meet the standards required by law.

Liability and Disclaimers

Advice Provided

Kate Baxter Studio provides education, guidance, recommendations, templates, strategies, coaching and professional insight based on experience within the jewellery industry.

Unless expressly agreed otherwise, this information is provided for general educational and business purposes. Decisions about how you use or implement information or advice in your business remain your responsibility.

Kate Baxter Studio does not guarantee any particular business, financial or commercial outcome. Results will vary depending on factors including your own decisions, implementation and circumstances outside the control of Kate Baxter Studio.

Nothing in this section excludes or limits Kate Baxter Studio's responsibility where it is legally responsible for a loss or where liability cannot legally be excluded or limited.

Third-Party Referrals

Kate Baxter Studio may recommend or signpost third-party suppliers, service providers or other professionals.

These third parties operate independently, and Kate Baxter Studio does not control their services, pricing, availability, performance or the outcomes of work carried out by them.

You are responsible for deciding whether to engage a third party and for carrying out your own enquiries and due diligence before doing so. Any contract or agreement you enter into with a third party is between you and that third party.

This does not affect any responsibility Kate Baxter Studio may have where it has a legal obligation to you.

Limits on Liability

Nothing in these Terms & Conditions excludes or limits liability that cannot legally be excluded or limited.

Subject to this, Kate Baxter Studio's total liability arising from or in connection with products or services provided will not exceed the total fees paid by you to Kate Baxter Studio for the relevant product or service in the six months preceding the event giving rise to the claim.

This limit applies only to the extent permitted by applicable law and does not affect your statutory rights.

GoldDust Collective Membership and 1:1 Sessions

Specific terms apply to GoldDust Collective membership, including membership benefits, payment, cancellation, the Welcome Zoom and eligibility for the Annual 1:1 Strategy Session.

Specific terms also apply when booking or attending a 1:1 consulting session.

Please read the relevant GoldDust Collective Membership Terms and GoldDust 1:1 Consulting Session Terms alongside these Terms & Conditions.

Where there is any inconsistency between these Terms & Conditions and specific terms applying to a particular service, the specific terms will apply to that service.

Changes to These Terms

Kate Baxter Studio may update these Terms & Conditions from time to time.

Where a significant change affects an existing service or membership, reasonable notice will be given where appropriate.

Any updated Terms & Conditions will apply from the date they are published or from another date clearly communicated to you.

Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales.

Entire Agreement

These Terms & Conditions, together with any applicable service-specific, course, membership or consulting terms, form the agreement between you and Kate Baxter Studio in relation to the relevant products and services provided.

They replace any previous agreements or understandings relating to those products or services, except where otherwise agreed in writing.

Waiver

If Kate Baxter Studio does not immediately enforce any part of these Terms & Conditions, this does not mean that it has waived its right to enforce that provision at a later date.
