Licence and Use of Materials
By purchasing or enrolling in an online course or the GoldDust Collective monthly membership, you are granted a non-exclusive, non-transferable licence to access and use course materials for your personal, non-commercial use only.
You may not:
Resell, redistribute, or share course materials with any third party
Use course materials to create your own course, training, or educational product
Transfer access to another individual
Kate Baxter Studio reserves the right to terminate access if these terms are violated.
Account Security
You agree to keep your username and password confidential and to notify Kate Baxter Studio immediately if you become aware of any unauthorised use of your account.
Intellectual Property
All materials provided, including but not limited to video content, written resources, templates, frameworks, handouts and assignments, remain the exclusive property of Kate Baxter Studio.
These materials may not be reproduced, redistributed, published, sold, licensed or otherwise exploited without prior written permission.
Membership Access
Access to membership content, resources, and included services is conditional upon an active membership. Access may be withdrawn upon cancellation or non-payment.
Kate Baxter Studio reserves the right to suspend or terminate access where behaviour is disruptive, harmful, or inappropriate within community or learning environments.
Refunds
Fees are non-refundable except where required by applicable consumer law.
Service Availability
Services, materials and platforms are provided on an “as available” basis. While reasonable efforts are made to maintain access, uninterrupted availability cannot be guaranteed.
Liability and Disclaimers:
Advice Provided
Any information, guidance, recommendations, templates, strategies, coaching or other advice provided by Kate Baxter Studio is supplied for educational and informational purposes only. You acknowledge that your use of such advice is entirely at your own risk.
To the fullest extent permitted by law, Kate Baxter Studio does not accept liability for outcomes arising from the use or implementation of advice, including direct, indirect, incidental or consequential losses.
Third-Party Referrals
Where third-party suppliers or services are recommended, these referrals are provided for convenience only. Kate Baxter Studio does not guarantee performance, suitability or outcomes and accepts no responsibility for losses arising from engagement with third parties.
Limitation of Liability
To the extent permitted by law, total liability arising from services provided shall not exceed the fees paid by you to Kate Baxter Studio within the six months preceding the claim.
Nothing in these terms excludes liability that cannot legally be excluded.
1:1 Consulting Session Terms:
Scope of Sessions
1:1 sessions included within membership provide strategic guidance and professional insight within the jewellery industry. They do not constitute legal, financial, tax or investment advice.
Session Entitlement
Members may book up to four sessions per membership year, allocated on a pro-rata basis according to active membership duration.
Sessions:
Must be used while membership remains active
Are non-transferable
Cannot be carried forward
Hold no cash value
Kate Baxter Studio reserves the right to manage session availability and scheduling capacity.
Booking, Availability and Attendance
Sessions must be booked through the designated system.
Availability is subject to capacity and unused sessions are not guaranteed if booking demand exceeds availability.
Cancellations require at least 24 hours’ notice. Missed sessions or late cancellations may be counted as used.
Kate Baxter Studio reserves the right to reschedule sessions where necessary.
Client Responsibility
All business decisions and actions taken following sessions remain your responsibility. No commercial outcomes or results are guaranteed.
Confidentiality
Information shared within sessions will be treated as confidential unless disclosure is required by law or permission is granted.
Intellectual Property
Frameworks, templates and resources shared remain the intellectual property of Kate Baxter Studio and may not be reproduced or redistributed.
Limitation of Liability
Kate Baxter Studio accepts no liability for losses arising from implementation of session advice, to the fullest extent permitted by law.
Variation of Terms
Kate Baxter Studio reserves the right to update these terms periodically. Continued use of services constitutes acceptance of revised terms.
Governing Law
These terms are governed by and construed in accordance with the laws of England and Wales.
Entire Agreement
These terms constitute the entire agreement between you and Kate Baxter Studio with respect to services provided and supersede any prior agreements or understandings.
Waiver
No waiver of any provision shall be effective unless agreed in writing.
Severability
If any provision is found to be invalid or unenforceable, the remaining provisions remain in full effect.
